In a statement that Neighborhood Intelligence released, the retailer said it determined F9 Brands did not satisfy the closing requirements for the acquisition "within the contemplated timeframe."

Neighborhood Intelligence — the company that rebranded from Bed Bath & Beyond Inc. — and F9 Brands have ended their acquisition agreement. 

In April, Bed Bath & Beyond Inc. had planned to acquire F9 Brands’ assets as part of a $150 million deal. The acquisition would have included $37 million in cash and about 16 million shares of Bed Bath & Beyond stock at $7 per share. It would have seen Bed Bath & Beyond acquire brands to expand its services surrounding storage, closets, cabinets, flooring, installation, renovation and distribution.

In August, Bed Bath & Beyond Inc. announced it would rebrand to Neighborhood Intelligence. It began trading under that name on Aug. 17, using the ticker NXH on the Nasdaq as of that day.

Why Neighborhood Intelligence and F9 Brands are canceling their acquisition deal

In a Sept. 8 statement that Neighborhood Intelligence released, the retailer said it determined F9 Brands did not satisfy the closing requirements for the acquisition “within the contemplated timeframe.”

“Neighborhood will not proceed with the acquisition or enter into a commercial or strategic collaboration with F9,” the statement said. “The companies will continue to operate independently, and the terms and economics of the previously announced acquisition agreement are no longer in effect.”

The Housewares & Home Furnishings retail operator said as of Aug. 31, after completing other recent acquisitions, Neighborhood Intelligence had issued about 97 million shares of common stock. It said it will not issue shares or acquisition capital in connection with F9 Brands.

In the past year, Neighborhood Intelligence has acquired The Container Store, Kirkland’s, Installed Right and SFV Construction Services.

“Disciplined capital allocation and protecting shareholder value are central to how we evaluate every transaction,” said Marcus Lemonis, executive chairman of Neighborhood Intelligence, in the statement. “We evaluate opportunities continuously, and this is one of many transactions we have considered that we elected not to pursue.”

He added that Neighborhood Intelligence remains focused on strengthening its Home Services platform. That segment of its business includes Elfa, Closet Works and SFV Construction Services.

Neighborhood Intelligence said it plans to build on Elfa’s whole-home solutions platform. It seeks to leverage Elfa’s design, engineering and manufacturing capabilities across kitchen, laundry, bath, closet and garage segments.

Recent Neighborhood Intelligence acquisitions

Before the rebrand to Neighborhood Intelligence, Bed Bath & Beyond had acquired Installed Right and SFV Services, a 20-year-old company for construction and facilities management projects. The acquisition, which Bed Bath & Beyond announced in June, expanded the retailer’s capabilities surrounding installation, renovation, construction and project execution.

Bed Bath & Beyond had also reached a deal in April to acquire The Container Store. The $150 million deal also included Elfa and Closet Works.

Neighborhood Intelligence’s portfolio also includes the Bed Bath & Beyond retail brand, Overstock, and Buy Buy Baby.

Those acquisitions followed name changes, ownership changes and investments Bed Bath & Beyond made in 2025.
