Logistics software provider Descartes Systems Group has acquired California-based Finale Inventory for $40 million in cash, with up to $15 million in potential earn-out payments based on performance over the next two years.

Finale Inventory develops cloud-based inventory management software that small and mid-sized ecommerce sellers use to manage stock across online marketplaces, warehouses, and fulfillment centers. Its platform helps sellers synchronize inventory data across multiple channels — such as Amazon, Shopify and Walmart — while integrating with shipping and accounting systems. The software aims at businesses looking to reduce stockouts, backorders, and manual data entry as they grow.

Descartes is based in Waterloo, Ontario. It offers logistics and supply chain software to companies involved in shipping, warehousing, transportation, and global trade. Its software-as-a-service tools helps with route planning, shipment tracking, customs compliance, and transportation management across multiple industries.

“Finale expands the depth of our ecommerce solution suite,” said Mikel Richardson, general manager of ecommerce solutions at Descartes. “It provides the control and visibility merchants need as inventory complexity grows.”

The acquisition adds to Descartes’ existing ecommerce capabilities, including its previous investment in Sellercloud, which focuses on order and marketplace management. CEO Edward Ryan said Finale fits into Descartes’ broader strategy to offer tools that support online sellers from early-stage startups to larger multichannel operations.

Descartes funded the acquisition with existing cash. Any performance-based earn-out payments would be made in fiscal years 2027 and 2028 if revenue targets are met.

Finale Inventory is headquartered in California. Descartes operates globally, serving logistics-intensive businesses with cloud-based software solutions.
