Clavis will join Ascential’s Information Services division alongside One Click Retail, the companies say.

Ascential plc, parent company of retail analytics firm One Click Retail, recently purchased Clavis Insight, another e-commerce analytics vendor, for $119 million.

Clavis will join Ascential’s Information Services division alongside One Click Retail, the companies say. One Click Retail uses a combination of website indexing, machine learning and proprietary software to estimate online sales figures at the SKU level to help brands and merchants optimize sales on Amazon and across the web. It provides its services across large retailers such as Amazon, No. 1 in the Internet Retailer Top 1000, Walmart (No. 3), Target Corp. (No. 20), Staples Inc. (No. 5), and Home Depot (No. 8).

Clavis operates a platform that helps consumer packaged goods companies optimize their online sales by giving the CPG companies data and insights gathered by monitoring online retailers such as Target, Walmart and Best Buy Co. Inc. (No. 10) in more than 20 countries.

Clavis employs 170 people, with offices in the U.S., U.K., France and China.

Clavis generated unaudited revenue of $13 million in 2016, the company says. It forecasts its 2017 sales will total $17 million. The vendor posted a $7 million loss in 2016. It expects to break even in 2018. Clavis says it benefits from a high level of recurring revenue with 95% of total revenue being subscription based.

Ascential initially paid $119 million for Clavis, but the final price will likely increase by between $25 and $50 million over the next three years depending on the performance of the newly combined company.  The total potential purchase price is capped at $219 million.

One Click Retail customers include Crayola and Panasonic (No. 269). Clavis customers include many large CPG brands including Nestle, Mattel and Unilever.
